For Publisher Partners:

To maintain a productive partnership and ensure optimal service performance, publisher partners must:

1. Maintain Accurate Information: Keep all submitted information, including contact, payment details, and platform specifications, up-to-date to ensure timely support, accurate payments, and relevant opportunities.
2. System Compatibility: Ensure compatibility with Revtoo's ad delivery and tracking technologies by maintaining updated software and adhering to our technical specifications, including implementing required updates promptly.

For Advertisers:

To maximize the effectiveness of Revtoo's platform, advertisers should:

1. Provide Accurate Campaign Details: Submit precise information for each campaign, such as target audience, budget, and creative assets, to ensure correct execution and target audience reach.
2. Data Accuracy and Privacy: Submit accurate data regarding campaign performance and user interactions while respecting privacy and data protection laws, working with Revtoo to optimize data use for campaign enhancement.

Publisher partners and advertisers are encouraged to communicate openly with Revtoo, promptly resolve any issues, and actively engage in collaborative efforts to enhance the platform’s value and performance. By meeting these responsibilities, all parties contribute to a thriving, effective, and compliant digital advertising ecosystem.

Intellectual Property Rights

Ownership and Licenses: Revtoo owns all rights to the Site and Services, including all underlying technology and intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services as per this Agreement.

Prohibited Conduct

Users must not:

1. Use the Services for any fraudulent, illegal, or unauthorized activities.
2. Infringe on the intellectual property rights of others.
3. Transmit malicious software or disrupt the Services.
4. Attempt unauthorized access to the Services or related systems.

Data Protection

User Data: We are committed to safeguarding user data collected through the Services. Our Privacy Policy governs the collection, use, and disclosure of user data.

Financial Terms

Revtoo will pay Affiliates a Revenue Share, determined by Revtoo at its sole discretion, based on the Net Revenue from advertising revenue generated via the Affiliate’s website or promotional activities. Affiliates will have access to a dashboard to view earnings and other information.

Revenue Share payments are governed by Revtoo’s payout policies, which may change at our discretion. Affiliates should regularly review these policies to ensure compliance.

Payments are influenced by various factors, including click validity and user demographics. Revtoo reserves the right to adjust payout policies or Revenue Share percentages at any time.

Affiliates will receive payments within 90 days after an invoice is generated on the platform, as long as they provide accurate and complete payment details. Revtoo is not liable for delays or issues resulting from incorrect payment information. We reserve the right to accept, reject, or refund payments at our discretion. Our standard payment terms are 90 days, but these may change if advertisers do not make timely payments.

The Affiliate acknowledges and agrees that Revtoo is not liable for any payments that are missed, delayed, or lost due to factors beyond its control, such as technical issues with payment systems, fraud, third-party interference, or errors by banks or payment processors.

Affiliates must notify Revtoo of any fraudulent activity related to their promotional efforts. Revtoo may withhold payments or take other actions in response to suspected or actual fraudulent activities.

Revenue Share payments are subject to taxes and other deductions. Affiliates are responsible for any taxes owed and agree to indemnify Revtoo from related claims or liabilities.

In case of payment disputes, parties will work in good faith to resolve them. If unresolved, either party may seek remedies under this Agreement or applicable law.

Disclaimers, Limitations of Liability, and Indemnifications

Revtoo, its affiliates, and related parties are not liable for any damages, including loss of profits, revenue, or data, resulting from your use or inability to use the Services, regardless of the liability theory. We are not responsible for any damages that may occur due to errors made by Revtoo, including but not limited to lost profits, revenue, or data. We assume you have your own security measures and algorithms to detect and prevent such errors. In jurisdictions that do not allow these limitations, liability is limited to the maximum extent permitted by law.

We do not guarantee the quality, accuracy, or legality of Services content and materials. The Services may not meet your requirements or be error-free. Revtoo is not liable for content inaccuracies or losses from content accessed via the Services.

You agree to indemnify Revtoo and related parties from claims arising from your use of the Services or violations of these Terms.

Some jurisdictions do not allow certain limitations on implied warranties or liabilities, so these limitations may not apply to you. In such cases, liability is limited to the fullest extent permitted by law.

Dispute Resolution

1. Governing Law: This Agreement is governed by the laws of the Company’s jurisdiction, excluding conflict of laws principles.
2. Arbitration: Disputes under this Agreement will be resolved through binding arbitration under an internationally recognized arbitration association's rules.

Modifications to the Agreement

This Agreement remains in effect as long as you use our Services. We may change our Services and these Terms at any time. If dissatisfied, your sole remedy is to discontinue use. We reserve the right to modify, suspend, or terminate your access to Services at our discretion, without liability.

Except as required by law, this Agreement is the complete statement of the parties’ understanding, superseding all previous agreements. Modifications must be in writing and signed by both parties, unless otherwise provided.

The Agreement replaces any prior agreements related to your use of the Services and does not grant rights to third parties. Our failure to promptly act on any violation of these User Terms of Service does not waive our right to take action in the future. If any part of these User Terms of Service is found unenforceable between the parties, it will not affect the validity of the remaining terms. If these User Terms of Service conflict with other terms of use for our services provided to you, those other terms will prevail.

You may not assign or transfer this Agreement, or any rights or obligations granted under it, to any other person without our express written consent. Revtoo may freely assign its rights or obligations without requiring your consent.

Termination

We may terminate your access to the Services for any Agreement breach, with or without notice.
